These terms and conditions govern access to the BIOTOPEP platform and the purchase of research peptides exclusively intended for scientific purposes and in-vitro laboratory evaluation.

Purpose and Scope
These General Terms of Use (hereinafter "GTU") fully govern the contractual relationship between the BIOTOPEP brand (hereinafter "the Seller") and any natural or legal person (hereinafter "the Buyer") placing an order on the website biotopep.com (hereinafter "the Site").
These GTU apply to the exclusion of any other document, in particular any general terms of purchase possibly issued by the Buyer. Validating an order on the Site implies the Buyer's full, immediate, and unreserved acceptance of these terms. BIOTOPEP reserves the right to modify its GTU at any time; the applicable version is the one in force on the order validation date.
Buyer Eligibility and Qualification
Access to the Site's chemical solutions and order placement are strictly restricted to professional or academic buyers who cumulatively meet the following mandatory criteria:
- Be a legal entity or legal person (company, university, R&D laboratory, hospital institution) duly registered.
- Engage in qualified scientific research activities in a laboratory, duly supervised by applicable national regulations.
- Possess the necessary technical skills and accreditations for handling biologically active substances in a controlled environment.
- Explicitly commit to using the ordered products exclusively for scientific research purposes in a laboratory.
BIOTOPEP reserves the right to verify the eligibility of any buyer and to refuse or cancel any order that does not meet these criteria, without this decision giving rise to compensation.
By placing an order, the Buyer declares under oath to satisfy all these criteria and acknowledges that any false declaration constitutes a fault engaging their sole responsibility.
Permitted and Strictly Prohibited Uses
- Fundamental research in biochemistry, pharmacology, and molecular biology
- In vitro studies in controlled and secure laboratory conditions
- Development of analytical and quality control methods
- Synthesis of analytical references for HPLC, MS method validation
- Supervised university, academic, or industrial research projects
- Preclinical development within a regulated R&D program
- Stabilization and formulation studies in a scientific context
- Any form of administration to human beings, including self-administration
- Injection, ingestion, or any other route of human or veterinary administration
- Resale, redistribution, or transfer to third parties without prior written authorization
- Use for cosmetic, wellness, or sports performance enhancement purposes
- Use outside a supervised scientific research setting
- Repackaging or modification of the product for resale purposes
- Use in countries where the possession of such products is legally restricted
Orders, acceptance and formation of the contract
Any order placed on the Website is firm and definitive subject to its acceptance by BIOTOPEP. BIOTOPEP reserves the right to refuse any order for the following reasons, without obligation to justify: insufficient stock, suspicion of fraud, regulatory non-compliance of the recipient, ineligible delivery address, or inability to ensure the cold chain in the destination country.
The sales contract is formed on the date of sending the order confirmation email by BIOTOPEP. Any order summary email prior to this confirmation email does not constitute acceptance of the order.
The Buyer is responsible for the accuracy of the information provided when placing the order (delivery address, qualification data, contact details). Any error is likely to lead to the cancellation of the order or additional processing fees.
In case of unavailability of an ordered product, BIOTOPEP informs the Buyer as soon as possible and offers either a credit note, a full refund, or an additional processing time if the product is in production.
Prices, invoicing and payment
Prices displayed on the Website are in euros (EUR), inclusive of all taxes (TTC) for French customers, or exclusive of taxes (HT) for customers with a valid intra-community VAT number. BIOTOPEP reserves the right to modify its prices at any time, the applicable prices being those in force at the time the order is placed.
Payment is due in full upon order. No order will be processed before full payment is received. Accepted payment methods are credit cards (Visa, Mastercard, American Express), processed by our PCI-DSS certified providers.
For recurring B2B orders, deferred payment terms may be granted by BIOTOPEP upon written request and after validation of a credit file. Any delay in payment will automatically result in the application of a penalty equal to three times the legal interest rate in force, as well as a flat-rate compensation for recovery costs of 40 euros, in accordance with article L.441-10 of the French Commercial Code.
Delivery, transfer of ownership and risks
BIOTOPEP operates as an EU-based supplier. Batches are shipped from our European distribution centers, ensuring fast domestic delivery and no customs fees for the EU zone.
The delivery times indicated on the Website are given for information only and do not constitute contractual deadlines, unless otherwise agreed in writing. BIOTOPEP cannot be held responsible for delays attributable to carriers, non-EU customs blockages or force majeure events.
The transfer of ownership of the products occurs upon full payment of the price. The transfer of risks (loss, theft, deterioration) occurs on the date of delivery of the products to the first carrier, in accordance with article 1344-2 of the Civil Code and the applicable Incoterms.
Upon receipt, the Buyer must immediately check the external condition of the package and its contents. Any reservation concerning the condition of the package must be expressly noted on the carrier's delivery note before signing. The absence of reservations implies acceptance of the products in the condition in which they were delivered.
Warranties and limitation of liability
Analytical conformity guarantee: BIOTOPEP guarantees that each batch shipped has a purity equal to or greater than 99.0%, validated and certified by independent analyses using High Performance Liquid Chromatography (HPLC) and Mass Spectrometry (MS).
Limitation of Liability: BIOTOPEP's liability is expressly limited to the amount of the order concerned. Under no circumstances can BIOTOPEP be held responsible for indirect, intangible damages, loss of business, commercial prejudice, or any consequence arising from non-compliant use of the products. This limitation of liability applies to the fullest extent permitted by applicable law.
Force Majeure: BIOTOPEP is released from all liability in the event of non-performance or delay in performance attributable to a force majeure event within the meaning of Article 1218 of the Civil Code (natural disasters, strikes, pandemics, government decisions, carrier failures).
Intellectual property
All elements making up the biotopep.com website (texts, images, logos, brands, structure, databases, source codes, product sheets, analysis certificates) are the exclusive property of BIOTOPEP or its partners and are protected by intellectual property law (Intellectual Property Code, copyright, trademark law, database law).
Any reproduction, representation, modification, publication, adaptation or exploitation of all or part of the elements of the Site, by any means whatsoever, is strictly prohibited without the prior written authorization of BIOTOPEP, under penalty of legal proceedings. The brand names "BIOTOPEP", the associated logos and visuals are registered trademarks. Their use without authorization constitutes infringement within the meaning of articles L.713-2 et seq. of the Intellectual Property Code.
Personal data protection
The processing of the Buyer's personal data within the framework of the commercial relationship with BIOTOPEP is governed by the Privacy Policy available on the Website, which forms an integral part of these T&Cs by reference.
In accordance with the General Data Protection Regulation (GDPR — EU Regulation 2016/679), the Buyer has rights of access, rectification, erasure, portability, restriction and objection, as well as the right to lodge a complaint with the CNIL. These rights can be exercised at contact@biotopep.com.
Modifications to the T&Cs and termination
BIOTOPEP reserves the right to modify these T&Cs at any time. The new T&Cs are enforceable from their publication online on the Website. BIOTOPEP will inform registered customers of any substantial modification by email with reasonable notice.
In the event of the Buyer's violation of any of the provisions of these T&Cs, particularly in case of non-compliant use of the products or false declaration during qualification, BIOTOPEP reserves the right to immediately suspend access to the customer account, cancel any ongoing order and refuse any future order, without prejudice to any legal recourse or claim for compensation.
Applicable law and dispute resolution
These T&Cs are governed by and interpreted in accordance with French law, to the exclusion of any conflict of law rules that would lead to the application of another law.
In case of a dispute relating to the interpretation or execution of these T&Cs or any sales contract concluded on their basis, the parties undertake to attempt to resolve their dispute amicably within 30 days from the written notification of the dispute by the most diligent party.
Failing amicable resolution, any dispute will be submitted to the exclusive jurisdiction of the Commercial Courts and Judicial Courts of BIOTOPEP's registered office, notwithstanding multiple defendants or third-party claims.
In accordance with Articles L.611-1 et seq. of the Consumer Code (only applicable to disputes with individual consumers), the Buyer may use the competent consumer mediator free of charge, whose contact details are available on the Website.
The buyer acknowledges and accepts that BIOTOPEP cannot be held responsible for health, legal or regulatory consequences arising from non-compliant use of the products. Any administration to a living being constitutes a strictly prohibited use and is liable to criminal and civil prosecution.
By placing an order on the Site, the Buyer declares having read, understood and accepted without reservation all of these General Terms of Use, as well as BIOTOPEP's Privacy Policy and Return Policy.
